KTM is led by five principals who specialise in corporate advisory activities in the resource, technology, finance and services sectors. An important distinguishing feature of KTM is that the senior personnel of the firm work directly on transactions. This ensures the client receives the collective corporate experience of the team in relation to the assignment. Also, KTM is independent of large diversified investment banks and other corporate service providers, reducing the likelihood of conflicts of interest in relation to corporate assignments.

Focused on the ASX

KTM Capital provides corporate advisory, and equity finance services to high growth small and medium sized (“small cap”) companies. Since its inception in 1998, KTM Capital has assisted numerous clients in the technology, healthcare, resources and industrials sectors grow organically and inorganically through transaction-orientated services.

Operating as a boutique investment bank and focused on the Australian Securities Exchange (ASX) market, our services include the provision of private equity and pre-float capital, initial public offerings, post-IPO placements, mergers, acquisitions and divestments.

KTM Capital is supported by a long term investor base in Australia and overseas, including superannuation funds, hedge funds, family offices and high networth individuals.

Keith Kerridge

Keith entered the investment banking industry in 1983 when he joined the corporate advisory division of CIBC Australia Limited, subsequently joining BT Australia Limited in 1985. At BT his major focus was on equity market capital raising and advisory assignments. Transactions included advising the Commonwealth Bank of Australia on its ASX listing in 1991, the NSW Government on the listing of GIO Insurance in 1992 and advising the banking syndicate to Adsteam Limited on the listing of Woolworths Limited in 1993.

In 1993 Keith joined Prudential Bache Securities Australia as Head of Investment Banking. Prudential Bache became dominant in equity raising in the resources sector over the next 5 years, as well as being a major player in the small cap industrial sector for capital raising.

Following the sale by Prudential Securities of its Australian operations in 1998, Keith and Tod McGrouther established KTM Capital.

In 1986 Tod concurrently secured a Bachelor of Law (First Class Honours) and University Medal from the University of Sydney, and a Bachelor of Commerce (First Class Honours) and University Medal from the University of New South Wales.

Tod has worked in the Australian corporate advisory industry since 1986 commencing as Associate Director of Bankers Trust Australia and advising on a large number of corporate advisory assignments including the State Bank of Victoria, the Bank of New Zealand, the State Bank of New South Wales, the Commonwealth Bank and Qantas.

Between 1994 and 1998 Tod was a Director of the Corporate Finance Department of Prudential Bache Securities Limited. During this time, he completed a number of equity capital raising assignments specialising in the resources sector for clients including Anaconda Nickel Limited, Australian Goldfields Limited, Sipa Resources Limited and Legend Mining Limited. He also completed a large number of industrial sector initial public offerings including the demutualising and listing of Namoi Cotton Limited.

Martin Rogers

Martin Rogers is a successful start-up investor and company director. Martin has Chemical Engineering and Computer Science degrees and has a depth of experience in incubating companies and publicly listed organisations.

Martin has experience in all aspects of financial, strategic and operational management. Martin has been both an investor and senior executive in a private funded advisory business in the tech, science and life sciences sectors, where he was instrumental in significantly increasing the value of those investments.

Martin was instrumental in the establishment of KTM Ventures, an ESVCLP (Early Stage Venture Capital Limited Partnership) incorporated under Australian law with tax advantages to venture investors. KTM Ventures provides potentially higher investment returns in a tax-effective fund focused upon pre-IPO and private expansion capital.

Martin’s recent board positions include: Chairman, Actinogen (ASX:ACW) and Rhinomed (ASX:RNO), Non-Executive Director OncoSil Medical (ASX:OSL) and Cellmid (ASX:CDY). Prior to this Martin was the CEO for Prima BioMed Ltd (ASX:PRR).

John Young

John has over 30 years’ corporate experience including principal roles in private equity, public market capital raising, corporate strategy and acquisitions, corporate governance, and management consulting. John holds a Bachelor of Engineering (Mech) from Sydney University and a Master in Business Administration from Harvard University. Having been associated with KTM Capital since 2003, John’s interests are in are in advising and raising capital for the services, technology and manufacturing sectors.

Prior to KTM, John’s career has been in consulting and industry. Up until 2000, John was Director of Corporate Development at Boral Limited, where he led the strategy, major acquisition, and disposal initiatives for the group including the Origin demerger. Prior to this, John worked at Patrick Corporation identifying, acquiring and managing many of the major investments of the group. John has also worked with the management consultants McKinsey & Company, serving clients in a variety of industries in Australia, and overseas.

John serves as industry representative of the Sydney University School of Aerospace, Mechanical and Mechatronic Engineering, and is also on the Board of of the Faculty of Engineering.

Charles Lindop

Charles focuses on the corporate advisory needs of technology, media and telecommunications businesses including IPO’s, mergers and acquisitions, divestments, partnerships/alliances, and business strategy.

Charles has over 10 years’ experience in providing corporate advisory services to technology and services firms working on many of KTM’s transactions and prior to this, as a principal of advisory firms Carlisle Partners and Mainsheet Corporate. In addition, Charles spent 20 years in senior operational roles in international technology firms Hitachi, SAP Software, Hewlett-Packard, Unisys and ASX listed UCMS. For 5 years he was also the COO of Australia’s largest technology incubator, ATP Innovations.

Charles is well known in the technology sector, as a Non-Executive Director and the Treasurer of the Australian Information Industry Association (AIIA) and a co-chair of the Pearcey Foundation. In 2011 Charles was awarded a Commendation for Bravery in the Australian Honours List in relation to a shark attack at Avalon Beach, Sydney.
